1. Acceptance of Terms

By downloading, installing, or using CalmLedger ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legal agreement between you and 3Nsofts ("we," "us," or "our").

2. License to Use

Grant of License:

• We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes
• This license is subject to your compliance with these Terms
• The license is automatically revoked if you violate these Terms

Restrictions:

• You may not copy, modify, distribute, sell, or lease any part of the App
• You may not reverse engineer, decompile, or attempt to extract source code
• You may not use the App for any unlawful or fraudulent purposes
• You may not remove or alter any copyright, trademark, or proprietary notices

3. User Accounts & Data

iCloud Integration:

• The App uses Apple's iCloud for optional data synchronization
• You are responsible for maintaining the security of your Apple ID
• You must comply with Apple's iCloud Terms and Conditions
• We are not responsible for unauthorized access to your iCloud account

Your Data:

• You retain all ownership rights to your financial data stored in the App
• You are responsible for the accuracy of data you enter
• You are responsible for maintaining backups of your data
• We are not liable for any data loss (use iCloud sync and export features for backups)

4. Subscription Terms

Free Version:

• The App offers a free version with limited features
• Free features are subject to change without notice
• We reserve the right to modify or discontinue free features at any time

Pro Subscription:

• Pro features require an active subscription purchased through Apple's App Store
• Subscriptions are available as monthly or yearly plans
• Subscription prices are displayed in the App and may vary by region

Free Trial (14 Days):

• New users are eligible for a 14-day free trial of Pro features (yearly plan only)
• Trial eligibility is determined by Apple's App Store records
• You will not be charged during the trial period
• Your subscription begins automatically after the trial ends unless you cancel
• You must cancel at least 24 hours before the trial ends to avoid being charged

Billing & Renewal:

• Subscriptions are billed through your Apple ID account
• Payment is charged to your Apple ID account at confirmation of purchase
• Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period
• Renewal charges are based on the subscription price at the time of renewal

Cancellation:

• You can cancel your subscription anytime through your Apple ID account settings
• Cancellation takes effect at the end of the current billing period
• No refunds for partial subscription periods
• You retain Pro access until the end of your paid period after cancellation

Refunds:

• All purchases are processed by Apple and subject to Apple's refund policies
• To request a refund, contact Apple Support or use reportaproblem.apple.com
• We do not process refunds directly
• Refund eligibility is determined solely by Apple

5. Prohibited Uses

You agree NOT to use the App to:

• Violate any local, state, national, or international law
• Infringe on intellectual property rights of others
• Transmit any harmful code, viruses, or malicious software
• Attempt to gain unauthorized access to the App's systems
• Use automated scripts or bots to interact with the App
• Share your subscription with others (except through legitimate Family Sharing)
• Create fraudulent accounts or misrepresent your identity
• Use the App for commercial purposes without authorization
• Interfere with other users' use of the App

6. Intellectual Property

Ownership:

• The App, including all content, features, functionality, source code, designs, graphics, and trademarks, is owned by 3Nsofts
• The App is protected by copyright, trademark, and other intellectual property laws
• "CalmLedger" and related logos are trademarks of 3Nsofts

Your License:

• You are granted a limited license to use the App (see Section 2)
• You do not acquire any ownership rights by using the App
• All rights not expressly granted are reserved

7. Privacy & Data Use

Privacy Policy:

• Our Privacy Policy explains how we handle your data
• By using the App, you consent to our Privacy Policy
• We do not collect, store, or access your financial data
• All data processing happens locally on your device or in your private iCloud account

iCloud Data:

• iCloud sync is optional and controlled by you
• Data synced to iCloud is stored in your private Apple CloudKit database
• We cannot access data stored in your iCloud account
• Your iCloud data is subject to Apple's iCloud Terms and Conditions

8. AI Features & Accuracy

AI Insights:

• The App provides AI-powered spending insights and recommendations
• AI features use on-device machine learning (no external servers)
• Insights are based on your historical spending patterns

No Financial Advice:

• AI insights are for informational purposes only
• Insights do not constitute professional financial advice
• We are not financial advisors, accountants, or tax professionals
• You should consult qualified professionals for financial decisions

Accuracy Disclaimer:

• We strive for accuracy but make no guarantees
• AI predictions and suggestions may be incorrect or incomplete
• You are responsible for verifying all financial calculations
• We are not liable for financial decisions based on App insights

9. Receipt Scanning

VisionKit Technology:

• Receipt scanning uses Apple's VisionKit framework for text recognition
• Scanning accuracy depends on receipt quality and device capabilities
• You are responsible for verifying scanned amounts and details
• We do not guarantee 100% accuracy for scanned receipts
• Always verify scanned data before saving expenses

10. Family Sharing

iCloud Family Sharing:

• You can share budgets with family members using iCloud Family Sharing
• Shared budgets are visible to all participants you invite
• You are responsible for who you grant access to your budgets
• Participants must also use the App to access shared budgets
• You can remove participants at any time

Subscription Sharing:

• Pro subscriptions can be shared with family members through Apple Family Sharing (if configured)
• Subscription sharing is subject to Apple's Family Sharing policies
• We do not control or verify family member relationships

11. Disclaimers & Warranties

Use at Your Own Risk:

• You use the App at your own risk
• We are not responsible for any financial decisions you make based on the App
• You are responsible for verifying all calculations and data accuracy
• You should maintain independent financial records and backups

12. Limitation of Liability

Exclusions:

• Some jurisdictions do not allow limitation of certain damages
• In such jurisdictions, our liability is limited to the fullest extent permitted by law
• These limitations do not affect your statutory consumer rights

13. Indemnification

You agree to indemnify, defend, and hold harmless 3Nsofts, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any law or regulation
• Your violation of any third-party rights

14. Changes to the App

Modifications:

• We reserve the right to modify, suspend, or discontinue the App at any time
• We may add or remove features without notice
• We may change pricing for new subscriptions (existing subscriptions are honored at original price)
• We are not liable for any modifications, suspensions, or discontinuations

Updates:

• We may release updates to fix bugs, add features, or improve performance
• Some updates may be required to continue using the App
• You are responsible for downloading updates
• Older versions may stop functioning after significant updates

15. Changes to Terms

Updates to Terms:

• We may update these Terms from time to time
• We will notify you of significant changes through the App or App Store updates
• Continued use after changes constitutes acceptance
• If you do not agree to updated Terms, stop using the App

16. Termination

Termination by You:

• You may stop using the App at any time
• Delete the App from your device to terminate your license
• Cancel your subscription through Apple ID settings if applicable
• Deletion does not automatically cancel active subscriptions

Termination by Us:

• We may terminate or suspend your access if you violate these Terms
• We may terminate the App service at any time with reasonable notice
• Upon termination, your license to use the App ends immediately
• No refunds for partial subscription periods due to termination for cause

17. Governing Law & Disputes

Jurisdiction:

• These Terms are governed by the laws of the United States
• Disputes shall be resolved in the courts of appropriate jurisdiction
• You agree to submit to the jurisdiction of these courts

Informal Resolution:

• Before filing a legal claim, you agree to contact us to seek informal resolution
• We will attempt to resolve disputes in good faith

18. Apple Requirements

Third-Party Beneficiary:

• Apple is a third-party beneficiary of these Terms
• Apple has the right to enforce these Terms against you
• These Terms are between you and us, not Apple

Apple's Responsibilities:

• Apple is not responsible for the App or its content
• Apple has no obligation to provide support or maintenance
• Apple is not liable for any claims related to the App
• Contact us, not Apple, for App support

Device Requirements:

• The App requires compatible iOS devices and software versions
• Check the App Store for current device requirements
• We are not responsible if the App doesn't work on your device
